2. Description of the Service
2.1 Waterspo Bridge provides an AI-powered API gateway and aggregation platform (the "Platform"), delivered as a digital SaaS product over the internet. Through a unified interface, you may call AI models from multiple upstream AI service providers (including but not limited to OpenAI, Anthropic, Google, and DeepSeek) using the OpenAI format, the Anthropic format, or the Google Gemini format.
2.2 The Service is a digital intangible product. Once your payment is confirmed, the corresponding credits are credited to your account immediately and access is granted. You understand and agree that, except as expressly set out in these Terms, credits are deemed delivered upon being credited to your account.
2.3 The Platform relies on third-party AI model providers (the "Upstream Providers") to deliver underlying model capabilities. The operational status, availability, and interface changes of Upstream Providers may affect the performance and availability of the Service. To the maximum extent permitted by law, we are not responsible for such disruptions beyond the scope set out in Section 12.
2.4 The Platform may from time to time adjust, add, or remove supported models, protocols, or features in the course of business, as actually made available on the Platform.
2.5 Commitments for officially contracted endpoints: For API endpoints directly contracted with official upstream model providers (such as Anthropic, OpenAI, Google, etc.), we commit to the following:
- Model consistency: the model version invoked is identical to the model officially provided by the upstream provider;
- Precision consistency: the output precision is consistent with the upstream model's official API;
- Context integrity: we do not proactively modify, truncate, or compress the context content you provide;
- Capability completeness: we preserve and pass through all features officially supported by the model, such as tool calling, multimodal input, and others;
- Billing consistency: fees are calculated strictly in accordance with the
usagefield returned by the upstream API combined with the model unit price set on this Platform; - No cache reuse: we never return to you responses generated based on other users' requests; every request is independently processed for the requesting user.
2.6 Commitments for non-official endpoints: For non-official API endpoints of upstream model providers, we commit only to the following:
- byte-level pass-through of requests and responses within the scope of this Platform, without proactively modifying, compressing, truncating, buffering, caching, or rewriting any data content;
- clearly labeling the channel category to which the model belongs, so that you are aware of the nature of its source;
- Billing consistency: fees are calculated strictly in accordance with the
usagefield returned by the upstream API combined with the model unit price set on this Platform, without additional markup or inflated usage.
2.7 Protocol format conversion: When the format of the endpoint you call differs from the format of the upstream receiving endpoint, we only perform format conversion on the request body to adapt it to the upstream endpoint's reception specification, and perform the corresponding format conversion on the returned response body, ensuring that you can correctly and completely receive the model-generated answer without manually handling format differences.
3. Account Registration
3.1 You must create an account using accurate, complete, and current information. You are responsible for all activities that occur under your account (including but not limited to API calls, credit consumption, and account setting changes), whether or not performed by you personally.
3.2 You are responsible for maintaining the security of your account and login credentials. If you discover any unauthorized use of your account, contact us immediately at security@waterspo.top. You must not share your login credentials with others. The email address used to receive billing notices must remain valid.
3.3 Business accounts: If you register on behalf of a company or other organization, you represent and warrant that you are legally authorized to bind that entity to these Terms, and that entity shall be bound by all provisions herein.
3.4 We reserve the right to review, reject, or restrict registration based on security, compliance, or anti-fraud considerations, including but not limited to violation of these Terms, suspected fraud, or provision of false information.
3.5 Each account may hold up to 3 API Keys concurrently. The Platform does not restrict the number of devices logged in or concurrent source IP addresses per account; however, you are responsible for all calls made through your API Keys.
4. Plans and Credits
4.1 The Platform offers the following two types of paid plans:
- One-time top-up plans: You may purchase fixed-value credit packages. Credits are credited to your account balance immediately and are used to offset API call costs;
- Subscription plans: You may subscribe to a monthly plan. During each subscription period, the credits included in the plan are issued to your account monthly.
4.2 The pricing, credit amounts, and benefits of each plan are subject to the pricing page of the Platform (https://ai.waterspo.top/#pricing) as displayed from time to time. We reserve the right to adjust plan prices and content from time to time:
- Model unit price fluctuations: Real-time changes to per-call model pricing due to upstream AI provider price changes are displayed on the pricing page in real time and will not be separately notified. You should review the latest pricing before each top-up;
- Plan structural changes: Material adjustments to plan structure, such as top-up denominations or subscription pricing, will be notified in advance as set out in Section 15.
4.3 Definition of credits: Credits are the smallest billing unit of this Platform. Each API call deducts the corresponding credits based on the actual usage recorded by the Platform. The specific consumption rules are subject to the real-time billing result of the Platform, and you may query the "Billing" and "Transactions" pages in your dashboard.
5. Billing and Payment
5.1 Subscription auto-renewal authorization (important): When you provide a payment method and subscribe to a monthly plan, you explicitly authorize us to automatically charge the subscription fee for the current period from your bound payment method at the start of each subscription period. This authorization remains effective until you cancel the subscription. For annual subscriptions, we will notify you in advance before renewal.
5.2 Credit purchase authorization: Each one-time top-up is an independent single transaction. We will charge your payment method the amount shown at checkout. This does not involve auto-renewal or auto-top-up (unless you separately enable auto-top-up, in which case we will inform you clearly in advance).
5.3 Taxes: All prices shown on the Platform exclude any applicable taxes such as VAT, sales tax, or GST. If we are required by law to collect and remit such taxes, we will charge them to you separately.
5.4 All prices are displayed and settled in U.S. Dollars (USD). The supported payment methods are determined by the payment processor Whop and shown in its interface. All payments are processed by the PCI-DSS compliant Whop. We do not store your full card information on our own servers.
6. Cancellation Policy
6.1 How to cancel: You may cancel your subscription at any time online via "Subscription → Cancel" in your account settings (recommended), or by email to cancel@waterspo.top. Cancellation takes effect immediately upon submission, and we will send a cancellation confirmation email to your registered email within 10 minutes.
6.2 Effect after cancellation: After cancelling, your subscription remains valid until the end of the current billing cycle, and we will no longer charge you for the next cycle. Any one-time credits you have separately purchased are not affected by subscription cancellation and remain valid in accordance with Section 7.4.
7. Refund Policy
7.1 General principle: Given that the Service is a digital intangible product delivered immediately upon purchase, subscription fees and consumed credits are generally non-refundable.
7.2 Subscription refund (first-time subscriber guarantee): First-time subscribers may apply for a full refund within 7 days of the first charge if they have not used more than 20% of the purchased quota.
7.3 Credit refund: One-time top-up credits may be fully refunded within 7 days of purchase if completely unused; consumed credits are non-refundable.
7.4 Special refund circumstances (any of the following qualifies for a refund):
- repeated charges caused by system failure on our part or the payment processor's part, refunded in full upon verification;
- service interruption exceeding 72 consecutive hours caused by our fault, refunded proportionally by duration or compensated with credits;
- statutory withdrawal rights granted by applicable law (such as the 14-day cooling-off period in the EU and UK jurisdictions, subject to the laws applicable to you);
- account erroneously terminated due to our breach of contract.
7.5 Subscription credits: The monthly credits included in a subscription plan are valid for the current month only and do not carry over to the next period (unused credits at the end of the period are reset to zero).
7.6 Credit validity and consumption order:
- One-time top-up credits are valid for 24 months from the date of purchase;
- Consumption prioritizes subscription plan credits first, then one-time top-up credits;
- Remaining credits are not refunded when an account is terminated due to breach.
7.7 How to apply: Please submit your refund request by email to refunds@waterspo.top, including your account email, transaction ID, and reason for the refund. We will confirm within 2 business days and process the refund to the original payment method within 5–10 business days after confirmation.
7.8 Non-refundable circumstances: credits that have been fully consumed or expired; applications beyond the guarantee period set out in Sections 7.2 and 7.3; accounts terminated for breach of these Terms.

If you initiate a chargeback directly without following this step, we reserve the right to refuse to continue providing the Service.

9.1 The output content generated by AI models through the Service (including text, code, images, etc., the "Output Content") belongs to you. To the extent permitted by applicable law, you are solely responsible for the Output Content and its use.
9.2 By submitting API calls through the Service, you grant us and the upstream AI providers a limited, non-exclusive license to transmit, store, and forward your Input Content (including but not limited to prompts, code, documents, etc.) and the resulting Output Content as reasonably necessary to provide and maintain the Service. Without your explicit consent, we will not use your inputs or outputs to train or fine-tune our own AI models.
9.3 The Platform relies on third-party AI model providers to generate Output Content. The behavior, output quality, and compliance of third-party models are beyond our control. Except as otherwise provided in these Terms, we are not responsible for any content generated by third-party models.
9.4 AI Output Content may contain errors, inaccuracies, incomplete information, or be outdated. You are responsible for independently reviewing, verifying, and exercising judgment over the Output Content and determining its suitability.
9.5 The Platform's own software, interfaces, designs, documentation, trademarks, and other intellectual property belong to us or our licensors and may not be copied, modified, distributed, or used for competitive purposes without written permission.

- you must not present AI-generated content as the work of human professionals (such as licensed physicians, lawyers, or licensed financial advisors) in scenarios that may endanger personal safety or property.
10.4 We have the right to investigate suspected violations of this policy and may take measures including warnings, feature restrictions, suspension or termination of accounts, and pursuing legal liability, without prior notice.
11. Data, Privacy and Security

11.2 Payment card data is exclusively processed by the PCI-DSS compliant payment processor Whop and is not stored on our servers.
11.3 Your account data is retained for 90 days after account deletion, after which it is deleted or anonymized, except for transaction records required to be retained by law.

12. Disclaimer and Limitation of Liability
12.1 The Service is provided on an "AS IS" and "AS AVAILABLE" basis. 12.2 You understand and acknowledge that AI Output Content may contain inaccuracies, incomplete information, or be outdated, and must not be relied upon as legal, medical, financial, investment, or other professional advice. You are solely responsible for any consequences arising from reliance on AI Output Content.
12.3 Limitation of liability: To the maximum extent permitted by applicable law, our total cumulative liability to you for the use of or inability to use the Service shall not exceed the amount you have actually paid to the Platform within the 12 months preceding the event giving rise to the claim. This limitation does not apply to losses caused by our willful misconduct, gross negligence, fraud, or liability that cannot be excluded under applicable law.
12.4 We are not liable for: losses caused by interruption or changes of Upstream Providers; service interruption due to force majeure (including but not limited to natural disasters, network failures, policy changes, or DDoS attacks); or losses arising from your failure to safeguard your account information.
12.5 Service Level Agreement (SLA): The Platform commits to a monthly core infrastructure uptime of no less than 99.5% (calculated on a monthly calendar basis). The uptime calculation excludes downtime caused by outages of upstream AI service providers. If the monthly uptime falls below 99.5% due to the Platform's own core infrastructure, affected users may submit a compensation request to support@waterspo.top. Compensation shall be provided in the form of Platform credits, with the amount determined by us at our reasonable discretion based on factors including the duration and scope of the outage.
13. Term and Termination
13.1 These Terms take effect upon your acceptance and remain in effect until terminated in accordance with these Terms.
13.2 The Platform distinguishes between suspension and termination:
- Suspension: If we believe there is suspected violation of these Terms, suspected fraud, illegal activity, or abuse requiring further investigation, we may first suspend your account and the Service. During suspension, the credits in your account are frozen — they cannot be used and are not deducted. Upon completion of the investigation, we will either restore the account or convert the suspension to termination based on the findings;
- Termination: We may directly terminate your account and the Service if, upon verification, there is a material breach of these Terms, fraud, illegal activity, or abuse; if required by law, regulation, or judicial authorities; or if you enter bankruptcy, dissolution, or otherwise lose the ability to perform the agreement. Upon termination, remaining credits are handled in accordance with Section 7.6.
13.3 If we terminate the Service in advance for reasons other than your breach, we will proportionally refund the prepaid but unused amount or credits.
13.4 You may delete your account at any time by contacting support@waterspo.top or through your account settings. Account deletion takes effect immediately and is irreversible. Upon deletion, all unused credits in your account (including any one-time top-up credits that have not expired) are forfeited and will not be refunded. After account deletion, Sections 9, 11, 12, 14, and 15, and other provisions that by their nature should survive, remain in effect.
13.5 Upon account termination or deletion, unused credits in your account are handled in accordance with Section 7.6.
